Terms & Conditions

OCTOWASTEInstaller Network — Terms & ConditionsThese Terms & Conditions (“Terms”) govern participation in the OCTOWASTE Installer Network (“Network”) by solar installation and service businesses (“Installer”, “you”).

 

By submitting an application to join the Network, or by accepting a Referral from OCTOWASTE, you agree to be bound by these Terms.1. Definitions"OCTOWASTE" trade name of ASSERTIVE TECHNOLOGIES PTY LTD of 1/1049 Wynnum Road, Cannon Hill, QLD, ABN 87 698 342 942

"Installer" the business applying to join, or accepted into, the Network.

"Network" OCTOWASTE's managed network of verified installers and solar service providers.

"Referral"  an introduction made by OCTOWASTE to the Installer of a customer requirement sourced through OCTOWASTE's website, app or outreach.

"Removed Panels" solar panels or related solar/battery components taken off a customer site by the Installer, whether damaged, defective, replaced, upgraded or retired.

"Recycling Pathway" OCTOWASTE's confirmed drop-off, collection or recycling process for Removed Panels, as advised by OCTOWASTE from time to time.

2. Eligibility and Verification

 2.1 To join the Network, the Installer must submit a complete application including: service areas and travel range; residential, commercial or utility-scale capability; installation, maintenance, removal and decommissioning services offered; current licences, accreditations and insurance; team capacity and preferred project size; and a primary contact with expected response time.

 2.2 OCTOWASTE reviews applications and decides, at its discretion, whether to accept an Installer into the Network. Submitting an application does not guarantee acceptance.

 2.3 The Installer must not describe itself as an “approved”, “preferred” or “certified” OCTOWASTE installer unless OCTOWASTE has confirmed that status in writing.

3. Collection, Drop-off and Recycling Obligations

 3.1 Where a project completed or serviced by the Installer whether or not it arose from a Referral produces Removed Panels, the Installer agrees to route those Removed Panels through the Recycling Pathway then confirmed by OCTOWASTE.

 3.2 The Installer will notify OCTOWASTE as soon as reasonably practicable when a project is expected to produce Removed Panels, including estimated quantity, location and timing, so OCTOWASTE can assess the appropriate pathway.

 3.3 The Installer will follow OCTOWASTE's reasonable preparation and handling requirements for Removed Panels, including safe handling, stacking and palletisation.

 3.4 Drop-off of any quantity of Removed Panels may be made at OCTOWASTE's confirmed collection points. Collection/pickup of Removed Panels is assessed by OCTOWASTE for bulk volumes only, subject to location, access and logistics.

 3.5 Nothing in these Terms obliges the Installer to use OCTOWASTE for every disposal need, except that the Installer must not represent a non-OCTOWASTE disposal pathway as OCTOWASTE-certified.

4. Referral Process

4.1 Participation in the Network is non-exclusive. Referrals are made at OCTOWASTE's discretion, based on the Installer's verified location, capability and availability. Participation does not guarantee referrals.

4.2 OCTOWASTE will qualify a customer requirement before making a Referral and will confirm customer consent before sharing the customer's details with the Installer.

4.3 On receiving a Referral, the Installer will confirm interest and availability within 2 business days.

4.4 Unless a different arrangement is agreed in writing, the customer contracts directly with the Installer for any solar work; OCTOWASTE is not a party to that contract and is not responsible for its performance.

4.5 Where a Referral results in a project producing Removed Panels, clause 3 applies and the Installer will notify OCTOWASTE accordingly.

 

5. No Guarantee of Referrals or Workmanship

 

5.1 OCTOWASTE does not guarantee the Installer any minimum number of Referrals, a fixed volume of work, or any leads at all. Network participation is opportunity-based only.

5.2 OCTOWASTE does not guarantee, warrant or accept responsibility for the Installer's workmanship, licensing, insurance or conduct. The Installer remains solely responsible for the solar work it performs.

 

6. Fees and Commercial Terms

 

6.1 OCTOWASTE currently operates the Network on a referral fee of 5% of contract value for more than $5,000 contracts or 10% of contract value less than $5,000. Any referral fee, commission, first right to quote, or other commercial term will be agreed with the Installer in writing before it applies.

6.2 Where a Referral produces Removed Panels , OCTOWASTE will have first opportunity to assess the recycling requirement. 

6.3 Each party is responsible for its own invoicing to the customer for the portion of work it performs, unless otherwise agreed in writing.

 

7. Branding and Representation

7.1 Each party may refer to the relationship as described in Network materials provided by OCTOWASTE from time to time, and must not otherwise use the other party's name, logo or branding without prior written consent.

7.2 The Installer must not represent that OCTOWASTE guarantees or endorses its workmanship beyond what is stated in these Terms.

8. Customer Data, Privacy and Confidentiality

8.1 Customer details will only be shared with the Installer after the customer has consented to that introduction.

8.2 The Installer must use customer information only for the purpose of the Referral, keep it confidential, and handle it in accordance with the Privacy Act 1988 (Cth) and any applicable state privacy law.

8.3 The Installer must not use customer details obtained through the Network for unrelated marketing without the customer's separate consent.

 

9. Conduct, Response Times and Complaints

 

9.1 The Installer will respond to Referrals and OCTOWASTE communications within the expected response time in its Network profile, and will deal with customers professionally.

9.2 OCTOWASTE may investigate complaints about an Installer's conduct or workmanship and may suspend or remove the Installer from the Network pending investigation.

 

10. Compliance, Licensing and Insurance

 

10.1 The Installer must hold and maintain all licences, accreditations and insurance required to lawfully perform its services, and must notify OCTOWASTE promptly if any of these lapses or are suspended.

10.2 The Installer must comply with applicable work health and safety obligations on every site it services.

 

11. Term, Suspension and Termination

 

11.1 These Terms apply from the date the Installer's application is accepted and continue until terminated.

11.2 Either party may terminate participation in the Network at any time, within 14 days written notice.

11.3 OCTOWASTE may suspend or remove an Installer from the Network immediately for breach of these Terms, lapsed licensing or insurance, unresolved complaints, or sustained unresponsiveness.

 

12. Limitation of Liability

 

12.1 To the maximum extent permitted by law, OCTOWASTE's liability to the Installer arising from these Terms or the Network is limited to re-supplying the relevant service or, at OCTOWASTE's election, the cost of doing so.

12.2 Nothing in these Terms excludes, restricts or modifies any consumer guarantee or other right that cannot lawfully be excluded, including under the Australian Consumer Law.

12.3 Neither party is liable to the other for indirect or consequential loss.

 

13. Governing LawThese Terms are governed by the laws of Queensland, Australia confirm registered state, and each party submits to the non-exclusive jurisdiction of its courts.

 

14. Amendments

 

14.1 OCTOWASTE may update these Terms from time to time and will give Installers reasonable notice of material changes. Continued participation in the Network after that notice constitutes acceptance of the updated Terms.
